Public and Private Finance is more than just numbers. A sharp pencil and an HP 12C Financial Calculator are still invaluable tools, but today ’s complex financing arrangements also require a broad base of knowledge in the financial markets and the modern credit facilities utilized by them to provide financing to both public and private entities. You need to be a stickler for the numbers and the details. If you are not such a stickler we suggest you need one of us.

Siebers Mohney’s team of public and private finance attorneys provide comprehensive services for governmental financings, tax-exempt financings, and private entities. We serve as borrower’s counsel and corporate trustee counsel in transactions for a variety of public, private and tax-exempt organizations. While having represented financial institutions in the past, we now focus primarily on borrower representation, though our prior work with lenders gives us an advantage over other attorneys who have not experienced both sides of the fence.

We are frequently asked to advise tax-exempt organizations seeking to finance capital projects for new facilities or expansion into new markets through the use of tax-exempt debt. We have particular expertise and experience as borrower’s counsel and as corporate trustee counsel in financing facility expansion for health care organizations, including those for managed care, long term care and assisted living facilities.

Our experience also covers all areas of private finance, from the basic to the complex. Our finance attorneys have represented borrowers on countless real-estate acquisition, development and construction financings, asset based financing for manufacturers, and fleet and inventory financing for industrial leasing and sales companies, just to name a few.

In addition to the more general topics mentioned above, our attorneys are also experienced with these complex issues:

  • Regularly represent borrowers in all types of commercial loans, including term loans, line of credit loans, asset-based revolving lines of credit, and conduit, syndicated and other structured financings
  • Regularly represent real estate developers in acquisition, development, construction and term loans for both commercial and residential development projects
  • Serve as company counsel in tax-exempt financings for health care providers and manufacturers
  • Unique expertise in shareholder financing arrangements to create shareholder basis in capital asset loans for purposes of recognizing tax benefit of depreciation and pass through of initial operating losses
  • Advising businesses on raising capital through private placements and other venture capital mechanisms
